Terms of Use

These Terms of Use govern access to and use of the VERIGO website, mobile applications, administration portal, driver portal, APIs, reports and related services.

VERIGO is operated by CMD Group of Services. By accessing or using VERIGO, you confirm that you have read and agree to these terms.

Where your employer or another organisation provides your account, your use may also be governed by an agreement between that organisation and CMD Group of Services.

If you do not agree to these terms, you must not access or use the platform.

VERIGO is a fleet-management, compliance, inspection, defect, incident, accident, maintenance, workshop, reporting and operational-intelligence platform.

Features may include:

• Vehicle and trailer registers.
• Driver and user administration.
• Walkaround checks and inspections.
• Defect reporting and rectification workflows.
• Incident, collision, accident and near-miss reporting.
• Maintenance, workshop, parts and repair records.
• Compliance dates, reminders and management reports.
• QR-code asset access.
• Fuel, mileage and breakdown records.
• Driver notifications and acknowledgements.
• AI-assisted summaries and operational information.

Available features may vary according to the customer plan, configuration, permissions, location, device and service availability.

VERIGO is intended for business and professional fleet operations. You may use the platform only where:

• You are authorised by the relevant customer organisation.
• You have the legal capacity and authority required for your role.
• The information you provide is accurate and lawful.
• Your use complies with these terms and applicable law.

Accounts must not be created for unauthorised persons. Customer organisations are responsible for deciding who should receive access and for reviewing permissions when roles or employment circumstances change.

You are responsible for:

• Keeping your login details confidential.
• Using a strong and unique password.
• Protecting devices used to access VERIGO.
• Ensuring your account is not shared with another person.
• Immediately reporting suspected unauthorised access.
• Logging out or securing your device when it is unattended.

You must not attempt to bypass authentication, access another user's account or obtain access to restricted administration functions.

We may require a password reset, suspend an account or apply additional security controls where necessary to protect the platform, customer data or users.

When using VERIGO, you must:

• Enter complete, honest and accurate information.
• Complete safety and compliance records carefully and at the appropriate time.
• Use the correct vehicle, trailer, driver and operational record.
• Upload only relevant and authorised photographs, files and evidence.
• Correct known errors or report them to an authorised administrator.
• Follow your organisation's policies and lawful instructions.
• Use the service only for legitimate fleet and business purposes.

Digital workflows do not remove the responsibility to perform physical checks, make safe decisions or comply with applicable transport, employment, road-safety and maintenance obligations.

You must not:

• Use VERIGO for an unlawful, fraudulent or deceptive purpose.
• Submit information that you know is false, misleading or fabricated.
• Falsify an inspection, signature, mileage record, defect status or compliance record.
• Impersonate another person or use another person's account.
• Access information outside your authorised organisation, role or business purpose.
• Upload malware, harmful code or material that infringes another person's rights.
• Probe, scan, test or exploit platform vulnerabilities without written authorisation.
• Reverse engineer, decompile or attempt to extract protected source code except where the law expressly permits it.
• Use automated tools to overload, scrape or interfere with the service.
• Remove copyright, trade mark or ownership notices.
• Use platform information to harass, discriminate against or unlawfully monitor another person.

VERIGO is a record-management and operational-support platform. It does not itself operate vehicles, inspect physical assets, repair defects or guarantee compliance.

Customer organisations, transport managers, drivers, maintenance providers and other responsible persons remain accountable for:

• Vehicle roadworthiness and safe operation.
• Properly completing and reviewing inspections.
• Taking vehicles or trailers out of service where required.
• Investigating and rectifying defects.
• Meeting maintenance and inspection schedules.
• Maintaining appropriate operator, driver and vehicle records.
• Complying with applicable laws, licences and regulatory undertakings.
• Making professional decisions based on complete and current information.

A reminder, status label, report or dashboard must not be treated as confirmation that all legal or operational requirements have been satisfied.

VERIGO may use artificial-intelligence technology to summarise information, identify possible priorities, explain records or assist navigation.

AI-generated output:

• May be incomplete, inaccurate or based on incomplete platform data.
• May not reflect the latest legal, regulatory or operational position.
• Must be checked against the original records.
• Must not replace professional judgement or required physical checks.
• Must not be treated as legal, regulatory, medical, insurance or engineering advice.

Users remain responsible for reviewing the underlying records and making appropriate decisions.

You or your organisation retain relevant ownership rights in information, documents, photographs and other content submitted to VERIGO.

By submitting content, you authorise CMD Group of Services and its service providers to host, copy, transmit, process, display and otherwise use that content as reasonably necessary to:

• Provide the contracted VERIGO services.
• Maintain security and availability.
• Create authorised reports and records.
• Provide customer support.
• Comply with lawful obligations.

You must have the necessary authority, permission and lawful basis to submit personal information and third-party content.

VERIGO, including its software, interface, source code, design, branding, documentation, database structure, workflows and original content, is owned by or licensed to CMD Group of Services LTD.

Subject to these terms and the relevant customer agreement, authorised users receive a limited, revocable, non-exclusive and non-transferable right to use the platform for approved business purposes.

These terms do not transfer ownership of VERIGO or its intellectual property to any user or customer.

VERIGO may integrate with third-party services such as hosting, mapping, weather, email, vehicle-data, licence-data, AI, notification or file-storage providers.

Third-party services may be governed by their own terms, availability commitments and privacy policies. We are not responsible for a third-party service where the matter is beyond our reasonable control.

Customer administrators are responsible for ensuring that optional integrations are appropriately authorised and configured.

We aim to provide a reliable service but do not guarantee that VERIGO will always be uninterrupted, error-free or available on every device.

Access may be affected by maintenance, updates, internet connectivity, device configuration, third-party systems, security incidents or events outside reasonable control.

We may update, replace, limit or discontinue features where reasonably necessary for security, legal compliance, product development, third-party changes or commercial reasons.

Where appropriate, material service changes will be communicated to the relevant customer organisation.

Access may be suspended or terminated where:

• These terms or a customer agreement are breached.
• Access creates a security, legal or operational risk.
• The relevant customer requests removal of the account.
• The user is no longer authorised by the customer organisation.
• Required fees remain unpaid under a customer agreement.
• Suspension is required by law, a regulator or a court.
• The platform or relevant service is discontinued.

Termination does not remove rights or obligations that arose before termination. Data handling following termination will be governed by the customer agreement, applicable law and the Privacy Policy.

To the fullest extent permitted by law, VERIGO is provided on an “as available” basis.

We do not guarantee that:

• The platform will meet every individual operational requirement.
• Every reminder, date, record or integration result will always be complete or current.
• Use of the platform alone will satisfy every legal or regulatory obligation.
• AI-generated or automated output will always be accurate.
• The platform will be free from every defect, interruption or security threat.

Nothing in these terms excludes obligations that cannot lawfully be excluded.

Liability between CMD Group of Services and a customer organisation may be governed primarily by the applicable customer agreement.

To the fullest extent permitted by law, CMD Group of Services LTD will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity or loss arising from unauthorised or improper use of the platform.

Nothing in these terms limits or excludes liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

Your organisation may be responsible under its customer agreement for losses, claims or expenses resulting from unlawful use, unauthorised submissions, infringement of third-party rights or material breach of these terms by its users.

Individual liability will depend on applicable law, employment arrangements and the relevant circumstances.

Personal information is handled as described in the VERIGO Privacy Policy and, where applicable, the privacy information provided by your employer or customer organisation.

Unless a customer agreement states otherwise, these terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights or jurisdiction rules that apply.

These terms may be updated to reflect changes to VERIGO, legal requirements, security practices, integrations or business operations.

The latest version will be published on this page with an updated revision date. Continued use following the effective date of an updated version may constitute acceptance where permitted by law.
